These Terms of Service (“Terms”) govern your access to and use of the Notora AI product (“Product”), a service provided by NoteCal, Inc. (“NoteCal”, “we”, “us”, or “our”). By accessing or using Notora AI, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Product.

1. Acceptance of Terms

1.1 Binding Agreement. Your use of Notora AI constitutes your agreement to these Terms, as well as any additional terms, policies, or guidelines that may be posted on or incorporated by reference into the Product.

2. Description of the Service

2.1 Product Overview. Notora AI is an AI-powered productivity platform designed to streamline note-taking, task management, and calendar integration. The Product provides real-time note transcription, AI-driven task prioritization, and automatic scheduling to enhance professional productivity and communication.

2.2 Service Availability. While we strive to provide continuous, uninterrupted access to Notora AI, we do not guarantee that the service will always be available or error-free. Maintenance, upgrades, or unforeseen issues may temporarily affect availability.

3. Eligibility

3.1 User Requirements. You must be at least 18 years of age or have the legal capacity to enter into a binding agreement in your jurisdiction. By using Notora AI, you represent and warrant that you meet these requirements.

4. Account Registration and Security

4.1 Registration. To access certain features of Notora AI, you may be required to create an account. You agree to provide accurate, current, and complete information during registration.

4.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

5. Use of the Service

5.1 License. Subject to your compliance with these Terms, NoteCal grants you a limited, non-exclusive, non-transferable, revocable license to access and use Notora AI for your internal business purposes.

5.2 User Conduct. You agree to use the Product only for lawful purposes and in a manner that does not infringe the rights of or restrict the use and enjoyment of the Product by any third party.

5.3 Prohibited Activities. You shall not:

• Reverse engineer, decompile, or disassemble the Product.

• Use the Product to transmit any viruses or malicious code.

• Engage in any activity that interferes with or disrupts the Product or its servers.

• Use the Product in any manner that could be deemed fraudulent, harmful, or abusive.

6. Intellectual Property Rights

6.1 Ownership. All content, software, and intellectual property rights in Notora AI are owned by NoteCal or its licensors.

6.2 Restrictions. You agree not to copy, modify, distribute, sell, or lease any part of our intellectual property without prior written consent from NoteCal.

7. User Content

7.1 Ownership of Content. You retain ownership of any content you upload or create using Notora AI.

7.2 License to Use Content. By submitting content, you grant NoteCal a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content solely to provide and promote the Product.

7.3 Responsibility. You are solely responsible for the content you provide and the consequences of posting or publishing it.

10. Termination

10.1 Termination by You. You may terminate your account at any time by following the account cancellation procedures provided within the Product.

10.2 Termination by NoteCal. We reserve the right to terminate or suspend your access to Notora AI immediately, without notice, if you breach these Terms or engage in conduct that we deem harmful to our users or the service.

10.3 Effects of Termination. Upon termination, your right to use Notora AI will immediately cease, and we may delete your account and associated data, except as required by law.

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties. Notora AI is provided “as is” and “as available” without warranties of any kind, either express or implied. NoteCal disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Liability. In no event shall NoteCal be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Notora AI, even if advised of the possibility of such damages.

11.3 Maximum Liability. NoteCal’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by you, if any, for accessing the Product during the twelve (12) months preceding the incident giving rise to liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless NoteCal and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of Notora AI or any violation of these Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NoteCal is headquartered, without regard to its conflict of laws provisions.
